Terms of Sale

These Terms of Sale (“Terms”) apply to every order placed with Solute Labs (“Solute Labs”, “we”, “us”). By creating an account or placing an order, you agree to these Terms, our Research Use Only Policy, our Shipping & Returns Policy, and our Privacy Policy.

1. Research use only

All products are sold strictly for lawful laboratory research use. They are not intended for human or veterinary use, for consumption of any kind, or for use as a drug, food, dietary supplement, or cosmetic. The Research Use Only Policy is part of these Terms.

2. Accounts and eligibility

• Purchasing requires an approved account. We may approve, decline, suspend, or close any account at our discretion.
• You must be at least 18 years of age and purchasing on behalf of yourself as a qualified researcher or on behalf of an organization you are authorized to represent.
• You agree to provide accurate information and to keep it current.
• You are responsible for keeping your login credentials confidential and for all activity under your account.

3. Orders

• An order is an offer to purchase. An order is accepted when we confirm payment and prepare it for shipment.
• We may limit quantities, refuse, or cancel any order, including when we have reason to believe a product may be used for a purpose other than laboratory research.
• If a product is listed at an incorrect price or with incorrect information because of an error, we may cancel the order and refund any payment received.

4. Prices and taxes

Prices are in US dollars and may change at any time. The price that applies is the price shown when your order is placed. Sales tax is added where we are required to collect it.

5. Payment

• Accepted payment methods are shown at checkout. Include your order number in the payment memo so we can match your payment.
• Stock for an unpaid order is held for 48 hours. After that, the order expires and the stock is released.
• We never receive or store payment card numbers on our systems.

6. Shipping, title, and risk of loss

We ship within the United States only. Shipping terms are described in the Shipping & Returns Policy. Title and risk of loss pass to you when the order is delivered to the carrier.

7. Returns and replacements

We do not accept returns. Damaged, defective, or incorrect items are replaced as described in the Shipping & Returns Policy.

8. Product information

Product descriptions and specifications are provided to identify the material supplied. Lot-specific information is stated on the certificate of analysis for that lot, where one is provided. We do not provide instructions or guidance on the use of any product.

9. Disclaimer of warranties

Except for the replacement remedy in Section 7, products are provided “as is.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

10. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim relating to an order is limited to the amount you paid for the product involved. We are not liable for indirect, incidental, special, or consequential damages.

11. Your responsibilities and indemnification

You are responsible for handling, storing, using, and disposing of products safely and in compliance with all applicable laws and regulations. You agree to indemnify and hold harmless Solute Labs from claims arising from your use or misuse of any product or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

13. Changes

We may update these Terms. The version posted when you place an order applies to that order.
